We invite you to carefully read these terms of use (the "Terms of Use") relating to browsing the geniusmeetings.com site (the "Site") published by the company IDEAL MEETINGS & EVENTS (the  Company " or " IME "), intended to connect its customers, adult individuals or legal entities looking for event services as part of their professional activity (hereinafter referred to as the “Clients”), with service providers offering such services (hereinafter referred to as the “Providers”).

Warning

We strive to allow access to the Site 24 hours a day, 7 days a week, except in the event of force majeure or an event beyond the control of IME, but it is not possible for us to guarantee the permanent availability and accessibility. Indeed, access to the Site may be suspended, partially or completely, in particular for maintenance reasons.

Consequently, IME cannot guarantee availability of the Site and/or services, reliability of transmissions and performance in terms of response time or quality. No technical assistance is provided for the user, whether by electronic or telephone means.

Our responsibility cannot be engaged in the event of impossibility of access to the Site and/or use of the services.

In addition, our Company may be required to interrupt the Site or part of the services, at any time, without notice, all without the right to compensation. The user acknowledges and accepts that the Company is not responsible for interruptions and the consequences that may result for the user or any third party.

Operation of the service offered on the Site

IDEAL Meetings & Events provides its Clients with a platform intended for the organization of professional events and offering a service mainly intermediated around the organization of meetings (in particular room rental, catering, accommodation, entertainment) with mainly tailor-made services.

The platform allows Customers to access the IME catalog and select Service Providers in order to obtain quotes via the intervention of an IME event advisor.

Thanks to integrated messaging, Customers can also interact directly with IME in the context of research, negotiation and contracting, then with confirmed Service Providers for logistics and the finalization of their event.

IDEAL Meetings & Events is neither the owner nor the operator of goods, IME is a service provider, mandated by a Client to organize event services. 

The responsibility of IDEAL Meetings & Events is limited to facilitating access to the services offered by the Service Providers.

Creating an account on the IME Finder site

Any natural or legal person of legal age, acting within the framework of his professional activity (company or sole proprietorship) may register on the Site. Registration is done through IME.

The creation of a "company" account, carried out by IME, is a mandatory prerequisite for opening user access to the IME Finder site.

The creation of a user account is mandatory to browse the Site, and necessary for the provision of a dedicated personal space as well as access to certain options.

Any “corporate” account or “user” can be closed by IME at the Customer's request.

Once the “company” account created, a user account can be assigned to any person designated by the Customer, either directly by IME or by a person who has been designated as an administrator (the Customer's purchasing department for example). If a user account has been assigned by an administrator, different or additional terms of use may apply and the administrator may access or deactivate this account in certain circumstances..

The creation of a "company  " account is subject to the filing of several mandatory information :

-          Company name or sole proprietorship, as applicable

-          Postal address of the head office of the latter

-          Registration number and intra-community VAT number, if applicable

-          Surname, first name and e-mail address of the natural person designated as administrator.

The Customer is fully responsible for the accuracy and completeness of all information in his account on the IME Finder site. Consequently, he undertakes to inform IME as soon as possible of the modification of said information so that IME can update it in the system in order to preserve its accuracy, relevance and completeness.

In the event that any of this information proves to be manifestly false or fanciful or violates these T&Cs in any way, IDEAL Meetings & Events reserves the right to suspend or close the Customer's account, without compensation or notice.

Finally, the Customer must imperatively preserve the confidentiality of his identifiers in order to avoid any use of his account by a third party. In the event of disclosure of his password to a third party, he will be responsible for all possible violations of these T&Cs committed by the latter and any use of the service carried out using the Customer's username and/or password. is deemed to have been made by the latter.

IDEAL Meetings & Events cannot be held responsible for the loss or theft of identifiers and passwords, nor for the hacking of these. If an activity on his personal account seems suspicious to him, the Client agrees to notify IDEAL Meetings & Events as soon as possible and to do everything possible to put an end to these unauthorized activities.

Intellectual property

The general structure of the Site, as well as the texts, graphics, images, sounds and video components, are the property of the publisher or its partners. Any representation and/or reproduction and/or partial or total exploitation of the content and services offered by the Site, by any process whatsoever, without the prior written authorization of IME and/or its partners is strictly prohibited and may to constitute an infringement within the meaning of articles L 335-2 and following of the Intellectual Property Code.

Hypertext links

The Site may contain hypertext links to other sites on the Internet. Links to these other resources cause you to leave the Site and we cannot be held responsible for the content, data or any information published on the sites to which a hypertext link from our Site is directed and in particular with regard to the sites whose data does not comply with the legal and regulatory provisions in force.

It is not possible to create a link to the presentation page of this Site without the express authorization of our Company. Our Company reserves the right to request the removal of a link that it considers inconsistent with the purpose of the Site.

Responsibility of IME

In order to use the services offered by the Site, each user is informed that IME is not a direct party to any agreement that may have been made between any Client and any Service Provider. The Company does not exercise any control either with regard to the behavior of the Providers, or with regard to the other users of the Site, and IME excludes all liability in this respect within the limits authorized by law.

The information and/or documents appearing on this Site and/or accessible by this Site come from sources considered to be reliable. However, they may contain technical inaccuracies and typographical errors. IME will be able to correct them, as soon as these errors are brought to its attention.

The information and/or documents available on this Site are subject to change at any time, and may have been updated. In particular, they may have been updated between the time they were downloaded and the time the user becomes aware of them.

The use of the information and/or documents available on this Site is made under the full and sole responsibility of the user, without the responsibility of IME  being sought in this respect, and without recourse against the latter.

Behavior of users of the Site

By using the Site, the user agrees to:

-          Comply with any applicable law or regulation,

-          Not to use software, devices, scripts, cancelbots, backdoors or other means to access any web page or other services, contained on the Site,

-          Not to use our Site to display or use any IME content: (i) that is not publicly displayed by the Site in its search results pages or event pages before a booking is confirmed; (ii) in any way inconsistent with the Site's Privacy Policy or these Terms of Use; or (iii) in any way that would otherwise violate the privacy or other rights of users of the Site or any other person,

-          Comply with the conditions of use of the information contained on the Site as provided herein,

-          Not to infringe the rights of a natural or legal person, including their intellectual property, privacy, image or contractual rights,

-          Not to usurp the identity of any natural or legal person, falsify any document or make false declarations.

Conditions applicable to Service Providers

As a service provider, when you use our Site you agree not to do the following:

-          Provide products/services based on false or misleading information, or provide a product stating a price you cannot afford,

-          Post, upload, publish, submit or transmit any Content that: (i) infringes, misappropriates or violates any patent, copyright, trademark, trade secret, moral right or other proprietary right intellectual property, image or privacy rights of a third party; (ii) violates or encourages any conduct that would violate any applicable law or regulation or give rise to civil liability; (iii) is fraudulent, false or misleading; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) incites discrimination, bigotry, racism, hatred, harassment or abuse against any individual or group; (vi) is violent or threatening or promotes violence or threatening acts against any other person; or (vii) promotes illegal or harmful activities or use of substances,

-          Systematically retrieve data or other content from our Site to create or compile, directly or indirectly, into one or more, a collection, compilation, database, directory or other similar grouping, manually, using robots or otherwise,

-          Use, display, copy or reproduce the Site or any individual element of the Site, IME's downloads name, any trademark, logo or other proprietary information of IME, or the layout and design of any ) page or form contained on a page of the Site, without the express written consent of IME,

-          Attempt to probe, scan or test the vulnerability of any system or network of the Site or to thwart any security or authentication measures,

-          Avoid, misappropriate, remove, disable, damage, decode, or otherwise circumvent any technological measure put in place by IME or any provider of IME or any other third party (including another user) in order to protect the Site,

-          Forge any TCP/IP packet header or any part of the email header information or any newsgroup posting, or otherwise use the Site to send modified, misleading or false,

-          Attempt to decipher, decompile, disassemble or reverse engineer the software used to provide the Site,

-          Induce, encourage, or assist any third party to carry out the aforementioned actions,

-          Accept or make a reservation outside the systems provided by the Site. If you do so, you place yourself in a situation where: (i) you will violate these Terms of Use, (ii) you must accept all risks and liabilities relating to such payment, and (iii) IME will be exonerated from all responsibility for such an order.

Limitation of Liability

IME cannot be required to carry out verifications concerning any user of the Site, including in particular the Service Providers, however IME may decide to carry out verifications at any time, at its sole discretion.

If IME has carried out such checks, this does not constitute a guarantee in any way of the qualities and skills of the user in question.

As an intermediary in the connection between Clients and Service Providers, IME does not guarantee that the Site will meet the needs of users or be available in an uninterrupted and secure manner, nor that it will be error-free.

IME makes no guarantee regarding the quality of any service request or Service Provider sheet, or the accuracy, timeliness, truthfulness, completeness or reliability of the information obtained through the Site.

No opinion or information, oral or written, obtained from IDEAL Meetings & Events or through the Site does not constitute a guarantee other than those expressly stipulated herein.

Each user is solely responsible for all his communications and interactions with other users of the Site and with any other person with whom he may communicate or come into contact using the Site and it is his responsibility to take reasonable precautions during such communications. IME will not verify the declarations of users on the Site, nor will it evaluate or visit the Service Providers.

IME cannot be held responsible for any risks related to the use of the Site, for the organization of an event through the Site and any contact that a user may have with other users of the Site, in person or on line. IME cannot be held responsible for any damages, including any loss of profits, loss of data or goodwill, interruption of service, computer damage or system failures.

Notes left by a Client on the IME FINDER Site

After placing an order, the Customer has the option of publishing on the Site a note relating to the services provided by a Service Provider. This note is intended to help other users of the Site in their choice. The Customer therefore undertakes to objectively assign a rating that actually corresponds to the services provided without disparaging or unjustifiably damaging the reputation of the Service Provider.

Website creation and participant management modules by the Client (OPTIONAL)

When the Customer subscribes to the option allowing access to the Module(s) for the creation of a website and/or the management of participants relating to an event directly by the Customer (the “  Module(s)”), the following provisions apply.

Any organizer of an event authorized to use this (these) Module(s) (the "Organizer") may, in particular, as the case may be:

-          Create all content related to an event accessible via the Website Creation Module,

-          Manage the list of participants in an event in the Participant Management Module (import and/or create contacts, delete them or anonymize them),

-          Send an email to participants so that they create their personal space to access the site via the Module,

-          Create and send a satisfaction survey to attendees after an event.

Insofar as the Organizer alone decides on the information that is published on any website created via the Module, the Customer becomes, with regard to the site thus created, "publisher". of the site within the meaning of the applicable regulations, since only the Organizer will play an active role in the content posted online. Therefore, and only in this context, IME will act as a "host". of the site thus created.

At the Customer's request, IME can also create such a site on behalf of the Customer, but IME will never be the decision maker of the content put online in this context and therefore remains the site's host, while having a duty to inform and warning to the Client when the content that the latter asks him to publish seems to him to be illegal or potentially in breach of any applicable regulations (in such a case, IME could refuse to publish such content). In the same way, and only at the express request of the Client, IME may have access to a website created by the Client to modify its content, without however being the decision maker of the published content for which the Client will remain responsible.

Consequently, the Customer is fully responsible for any content published on such a site which must comply with all applicable regulations, and in particular not infringe the rights of any natural or legal person, including their intellectual property rights, privacy, image rights and not to usurp the identity of any natural or legal person. The Customer may not publish content that is defamatory, obscene, pornographic, vulgar or shocking; or incite discrimination, bigotry, racism, hatred, harassment or abuse against any individual or group; or violent, threatening or promoting violence or threatening acts against any other person; or encouraging illegal or harmful activities or use of substances. In the event that illegal content published on such a site is reported to IME, the latter may request the Customer to immediately remove such content. In the absence of withdrawal as soon as possible, IME reserves the right to suspend or close the Client's account linked to this Module.

Modification of the conditions of use and updating of the Site

We may change certain content of the Site as well as these terms of use, in particular in order to comply with new regulations or to improve the Site.

Any modification of these conditions will be brought to your attention and you will be informed by email notification and message on the Site. The new terms of use will be available on the Site from your account and access to them will be made possible at any time during your browsing.

Applicable right

The terms and conditions of use of the Site are governed by French law, regardless of the place of use. In the event of any dispute, and after the failure of any attempt to find an amicable solution, the Commercial Court of Paris will have sole jurisdiction to hear the dispute.
