General Utilization Conditions

 

 

The purpose of this document is to define the terms and conditions under which the company, Self Meeting Tool, makes available to its users (referred to as "Users", "Customers" or "Providers") the site and the service available on the site, as well as the manner in which the user accesses the site and uses its services.

Any connection to the site is subject to compliance with these conditions.

For the user, simple access to the Self Meeting Tool website at the following URL: www.geniusmeetings.com, implies acceptance of all the conditions described below.

How our service works

The company, Self Meeting Tool, is the creator of the website - www.geniusmeetings.com, which allows customers to contact suppliers, who are looking for rental spaces and/or catering products within the framework of their professional activities, with suppliers who have such spaces and/or products.

As indicated above, the Self Meeting Tool provides members with a community platform on which they can publish or consult advertisements and interact directly with each other through the platform's internal messaging system for the reservation of places and/or the purchase of meal trays, lunch boxes, breakfast, among others. Self Meeting Tool is not the owner or operator of any goods, nor does it have the status of a supplier of goods, and Self Meeting Tool does not own, sell, resell, provide, supply, lease, rent, re-allow, manage and/or control any goods or services for transportation, travel or catering. Self Meeting Tool's responsibilities are limited to facilitating access to sites and services.

Creating an account on the Genius Meetings website

You do not need to create an account to browse the Genius Meetings website.

However, creating an account will be a necessary prerequisite for the provision of a dedicated personal space and access to online booking and shopping options.

Your account can be created by yourself or assigned to you by an administrator (your employer for example). If your account has been assigned to you by an administrator, different or additional terms of use may apply and your administrator may be able to access or deactivate your account.

Any natural or legal person of full age, acting in the course of his or her professional activity (company or sole proprietorship) may register with Genius Meetings.

The different categories of users

Users can be customers or suppliers

Clienst means "User" who use the Genius Meetings services to reserve spaces and/or premises belonging to a "Provider" or "User."

The "Suppliers" are the Users who provide customers with one or more areas and/or locations and/or propose a catering service and/or any other entertainment, security or other services, among others. 

The creation of one or more accounts, for all categories of Users, is also subject to the deposit of several mandatory elements, namely:

 

- Company name

- Mailing address of the company's registered office

- N° SIREN

- Intra-Community VAT number

The Customer, as well as the Supplier, is fully responsible for the accuracy and completeness of all information entered on his account, opened on the Genius Meetings website. In addition, the user undertakes to update all such information in order to preserve its accuracy, relevance and completeness.

 

 

In the event that any of this information is manifestly false or fanciful or in any way violates these Terms of Use, Self Meeting Tool reserves the right to suspend or close the customer's account without compensation or notice.

 

 

Finally, the User must imperatively preserve the confidentiality of his identifiers in order to avoid any use of his account by a third party. The User is informed that in the event of disclosure of his password to a third party, he will be responsible for all violations of these Terms of Use committed by the latter. Thus, any use of the service carried out by means of the User's username and/or password is deemed to be carried out by the User.

 

 

Self Meeting Tool will not be held responsible for the loss or theft of identifiers and passwords, nor for their hacking. If an activity on their personal account seems suspicious, Users undertake to notify Self Meeting Tool as soon as possible and to do their utmost to put an end to these unauthorized activities.

Subscriptions

There are different subscriptions available on the Genius Meetings website, each of which includes a certain number of rights and duties incumbent on the User.

 

Details of the functionalities included in each of these contracts, depending on the type of User, can be found on the Genius Meetings website at www.geniusmeetings.com.

 

It should be noted that for paid subscriptions, the due date appears on invoices and payments can be made by any means approved by both parties. In addition, any delay in the payment of the licence fee will give rise to interest calculated on the basis of the interest rate applied by the European Central Bank (ECB) to its most recent refinancing operation, increased by 7 percentage points, in force on the due date. The latter run until full payment, on the totality of the sums due.

 

 

Cancellation

 

Any breach by one of the parties of one of its obligations under these Terms of Use may, without prejudice to any damages, lead to its automatic termination at the creditor's initiative 30 days after the sending of a formal notice to execute, by registered letter with acknowledgement of receipt, without effect.

 

 

This period may be reduced to 5 days after receipt of the formal notice, in the event that the Customer uses Genius Meetings to disseminate information manifestly incompatible with the image of Self Meeting Tool.

 

Access to the site

The publisher endeavours to allow access to the site 24 hours a day, 7 days a week, except in case of force majeure or an event beyond the control of Self Meeting Tool, and subject to any breakdowns and maintenance interventions necessary for the proper functioning of the site and services.

 

Therefore, the Self Meeting Tool cannot guarantee site and/or service availability, transmission reliability and performance in terms of response time or quality. There is no provision for any technical assistance to the user, either electronically or by telephone.

 

The publisher cannot be held responsible for the impossibility of access to this site and/or use of the services.

 

In addition, Self Meeting Tool may interrupt the site or part of the services at any time, without prior notice, without entitlement to compensation. The user acknowledges and accepts that Self Meeting Tool is not responsible for interruptions and consequences that may result for the user or any third party.

Personal Data

Self Meeting Tool reserves the right to collect nominative information and personal data concerning users, which is necessary for the management of their order and the preparation of invoices.

 

The contact details of users of all Self Meeting Tool platforms may be transmitted to suppliers, in particular in the event of a confirmed and effective reservation and/or purchase, for the purpose of performing services.

 

The user has the right to access and rectify any personal data concerning him/her, in accordance with the French Data Protection Act N°78-17 of 6 January 1978. Only Self Meeting Tool is the recipient of the information that the client provides to it.

 

We also inform you that the automated processing of information, in particular the management of users' e-mail addresses, has been declared to the Cnil.http://www.cil.cnrs.fr/CIL/spip.php?rubrique203

Under the GPDR, you can change/anonymize your personal data upon request. The contact is indicated in our legal notice.

The fact of anonymizing your personal data may have an impact on the service provided, you are solely responsible for the consequences of this request.

Intellectual property rights

The general structure of the Self Meeting Tool website, as well as the texts, graphics, images, sounds and video components, are the property of the publisher or its partners. Any representation and/or reproduction and/or partial or total exploitation of the contents and services offered by the Self Meeting Tool website, by any means whatsoever, without the prior written authorisation of Self Meeting Tool and/or its partners is strictly prohibited and could constitute an infringement within the meaning of Articles L 335-2 and following of the Intellectual Property Code.

 

 

All users of the Self Meeting Tool website acknowledge that they have the necessary rights of exploitation to publish all the content posted online. All files published on the Self Meeting Tool website, i. e. musical works, films, videos, photographs, images or texts, carry a non-exclusive license granted to Self Meeting Tool allowing it to use, represent, reproduce, modify and/or communicate the said files.

Publication of an advertisement

As a Supplier User, you have the ability to create and publish ads. To create an advertisement, you must provide several pieces of information about the place and/or product concerned, including its location, capacity, size, technical characteristics and availability for the premises; its description, description, specifications, quantities, price and availability for catering products.

 

You understand and agree that the order or ranking of advertisements in search results may depend on many factors including customer preferences, rankings and/or ease of booking.

 

The posting of an advertisement can only be done via a deposit form on www.geniusmeetings.com. The advertisement can be considered as deposited as soon as the user has validated it on the site previously named.

 

Self Meeting Tool reserves the right to check the ads for quality control. Self Meeting Tool will thus be able, and unilaterally, to decide to add one or more photographs taken during a visit of the premises by its services.

 

 

 

A website specific to your establishment can be published via Genius Meetings. You are responsible for the contents and are considered to be the director of the publication.

 

 

 Emails and comments

 

 

Attention, we remind you that you should only send emails to people who have agreed to receive emails from you.

 

 

Your company is solely responsible and Self Meeting Tool does not accept any responsibility.

 

 

In the event of a violation, your service may be deactivated without refund.

 

 

As far as comments are concerned, you are solely responsible for the comments disseminated and the consequences thereof.

 

 

Ordering Process

The customer is responsible for the accuracy of all the elements written in his order and Self Meeting Tool cannot be held responsible for an error validated by the customer or a possible use of his account by a third party.

 

In addition, Self Meeting Tool reserves the right not to confirm any order from a customer with whom there is or would be a dispute.

Ordering catering products

The deadline for ordering a product depends on the specific commercial policy of each of the caterers listed on the Genius Meetings website. It is the user's responsibility to verify this information and any changes made by the supplier. Self Meeting Tool cannot be held responsible for any delivery problems, due to a lack of knowledge of the delivery conditions of a caterer, in particular.

 

 

We therefore invite Clients to carefully read the commercial policy of the service providers with whom they wish to work.

Conditions of cancellation

The rules concerning the time limits as well as possible costs for any cancellation differing according to the service providers, these will be specified at the time of booking and/or order.

It is possible to create a link to the presentation page of this site without the express permission of Self Meeting Tool. User behavior

 

You understand and acknowledge that you are solely responsible for compliance with the laws, rules, regulations and tax obligations that may govern your use of the site, the application, the services and collective content. When you use the site, the application, the services and collective content, you may not and agree not to use the site, the application, the services and the collective content:

 

   - Violation of any applicable local, provincial, state, national or other laws or regulations, or court decisions, including, but not limited to, planning restrictions and tax regulations,

 

   - Use software, devices, scripts, robots of cancellation, hijacked means or other manual or automated means or processes to access, "remove", "browse" or "scan" any web page or other services, contained on the site, application, services or collective content,

 

   - Access or use our site, application, services or API to use, display or permit the use or display of any Self Meeting Tool content: (i) that is not publicly displayed by the Genius Meetings platform in its search results or event pages before a booking is confirmed; (ii) in any way that would be inconsistent with the Genius Meetings Platform Privacy Policy or the Terms of Service; or (iii) in any way that would otherwise violate the privacy or other rights of users of the Genius Meetings Platform or any other person,

   - Accept or place an order outside of the systems provided by the Genius Meetings platform. If you do so, you acknowledge and agree that you: (i) will (i) violate these Terms of Use, (ii) accept all risks and liabilities relating to such payment, and (iii) hold Self Meeting Tool harmless from any liability for such order.

Disclaimers of Liability and Warranty

If you choose to use the Site, the Application, the Services or the Collective Content or participate in the Sponsorship Program, you do so at your own risk. You acknowledge and agree that Self Meeting Tool is under no obligation to verify the background of any member, including, but not limited to, venue providers and event organizers, but may do so in its sole discretion. If we choose to conduct such reviews, to the extent permitted by applicable law, we disclaim all warranties of any kind, express or implied, that such reviews will identify a user's past misconduct and we do not warrant that a user will not exhibit any future misconduct.

 

Self Meeting Tool expressly excludes all warranties of merchantability, fitness for a particular purpose, peaceful enjoyment or non-infringement and all warranties arising from commercial use. Self Meeting Tool does not guarantee that the site, application, services, or collective content will be consistent with your needs or available in an uninterrupted and secure manner, nor that they will be error-free. Self Meeting Tool makes no warranties regarding the quality of any event request, venue, event organizer, venue owner, or the accuracy, timeliness, truthfulness, completeness or reliability of any collective content obtained through the site, application, or services.

 

 

 

No oral or written notice or information obtained from Self Meeting Tool or through the Site, application, services or collective content constitutes warranty other than those expressly stated herein.

 

 

You are solely responsible for all of your communications and interactions with other users of the Site, the Application or the Services and with other persons with whom you communicate or are in contact when you use the Site, the Application or the Services. You understand that Self Meeting Tool will not attempt to verify user statements on the site, application or services, nor will it attempt to evaluate or visit any provider. Self Meeting Tool makes no representation or warranty regarding the behavior of users of the site, application or services or their compatibility with current or future users of the site, application or services. You agree to take reasonable precautions when you communicate or have contact with other users of the Site, application or services and with any person with whom you communicate or have contact in connection with your use of the Site, application or services.

 

 

You acknowledge and agree, to the extent permitted by law, to assume all risks arising from your access to and use of the Site, the Application, the Services and Collective Content, your event through the Site, the Application and the Services and any contact you may have with other users of the Genius Meetings Platform, whether in person or online. Neither Self Meeting Tool nor any other party involved in the creation, production or distribution of the Site, application, services and collective content shall be liable for incidental, special, exemplary or consequential damages, including lost profits, loss of data or customers, interruption of service, computer damage or system failures. The overall liability of Self Meeting Tool resulting from or related to these terms and conditions and your use of the site, application and services or the use or inability to use the site, application, services, collective content, or possible interactions with other members, shall in no case exceed the amounts you owe for a reservation via the site, the application and services as a user during the twelve (12) months preceding the event giving rise to liability or, if you are a provider of premises, the amounts ordered from you via the Genius Meetings platform during the twelve (12) months preceding the event giving rise to liability, or the sum of one hundred euros (100 €), if no such payment has been made, as the case may be. The above-mentioned damage limitations are fundamental elements of the agreement between you and Self Meeting Tool. Some countries do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

 

 

Billing Mandate

 

 

This billing mandate is between:

 

 

The company Self Meeting Tool, a simplified joint-stock company, registered with the Paris Trade and Companies Register under no. 814 202 073, whose registered office is located at 55 rue Belliard, 75018 Paris

 


And...

 

The provider, User of the site www.geniusmeetings.com:

 

 

Preamble

 

 

In order to simplify, for both Suppliers and Customers, the invoicing to be carried out for orders placed via the Site, the Company proposes to draw up and issue invoices for the provision of services in the name and on behalf of the Suppliers.

 

 

For this reason, the parties have approached each other in connection with the conclusion of this Mandate pursuant to which the Supplier agrees to entrust the Company Self Meeting Tool, in compliance with the applicable rules, with the preparation and issuance of all invoices for the provision of services to Customers.

 

 

 

Definitions

 

 

Invoice: designates the invoice of the supplier relating to an order made for a Customer via the Site.

 

 

Content: designates all comments, messages or information of any kind whatsoever (text, images, videos, photographs, comments, trademarks, company names, etc.), put online by a User on the Site.

 

 

Customer: means any supplier who has accepted the General Terms and Conditions of the Site.

 

 

Agent: designates the Company Self Meeting Tool.

 

 

Purpose of the Mandate

 

 

The Principal entrusts to the Agent who accepts, the mandate to establish in his name and on his behalf, all original Invoices, initial and/or amending, relating to orders placed by the Principal via the Site for the Clients.

 

 

This Mandate is drawn up in accordance with the regulations in force and in particular the provisions of Article 1984 of the French Civil Code and Articles 242 nonies A-I and 289 I-2 of the French General Tax Code.

 

Term of Mandate

 

 

The Mandate shall take effect on the date of its acceptance by the Supplier.

 

 

It is concluded for an indefinite period.

 

 

 

During the entire duration of the Mandate, the Client undertakes not to contact any other representative for the accomplishment of the same operation with regard to orders made via the geniusmeetings.com website.

 

 

 

The Principal may revoke the Mandate at any time, without any particular reason, by registered letter with acknowledgement of receipt sent to the Agent. In this respect, it is recalled that the conclusion of this Mandate is a condition of use of the Site. Therefore, its revocation will result in the termination of the supplier's account.

 

 

 

Likewise, the termination of the supplier's account for any reason whatsoever, implies the revocation of this TOR.

 

Obligations of the Agent

 

 

The Contractor undertakes to draw up Invoices in the name and on behalf of the Contractor, in accordance with the information provided by the latter.

 

 

 

Invoices will be issued as soon as the order is validated by the Customer and will be sent electronically to the latter.

 

 

 

The Agent shall also simultaneously provide the Principal with a copy of all Invoices issued by him in his name and on his behalf.

 

 

 

The Contractor undertakes that the invoices shall be marked "Invoice made out by[name of Company] in the name and on behalf of[name/denomination of supplier]".

 

 

 

In the event of a request for rectification of the Invoice by the Principal, the Agent undertakes to issue an amending Invoice without delay.

 

 

 

With regard to the numbering of Invoices, the Agent undertakes to use a sequence of chronological and continuous numbering, distinct for each Principal or the numbering that the Principal will indicate to him so that the Invoices are inserted in the sequence used by him for the invoices that he issues himself.

 

 

Obligations of the Principal

 

 

The Principal acknowledges that he retains full responsibility for his legal and fiscal obligations with regard to invoicing in respect of the original initial and/or amending original invoices issued in his name and on his behalf by the Agent, in particular with regard to his VAT declaration and payment obligations.

 

 

 

In particular, the Principal is solely responsible for determining the rules applicable to invoicing and for transmitting the required information to the Agent so that it can draw up Invoices in accordance with the applicable regulations, these rules being dependent on the place where the provision of services is deemed to have taken place.

 

 

 

Likewise, the Principal shall remain liable for the VAT due, where applicable pursuant to Article 283 (3) of the General Tax Code, where this is wrongly invoiced.

 

 

The Customer also expressly undertakes to:

 

 

  • Provide the Agent with a complete list of the information to be included on the Invoices as required by applicable regulations in force;
  • To pay to the Treasury the tax mentioned on the Invoices issued in its name and on its behalf;
  • Immediately claim a duplicate copy of the Invoice if it has not been made available by the Agent within the time and under the conditions specified herein;
  • Report any changes in the information concerning the identification of your company.

 

 

The Principal has a period of 3 days to contest the information contained in the Invoice issued in his name and on his behalf and to ask the Agent for its rectification. If there is no objection within this period, the Invoice shall be deemed to have been accepted by the Customer.

 

 

Modifications

 

 

Any amendment to these Terms of Reference shall be entered into in the same manner by all persons duly authorized for this purpose by the parties.

 

Applicable law and place of jurisdiction
